The Importance of Pre-Contract Negotiation

A well-negotiated contract is one of the most effective ways to protect the interests of both buyers and sellers. While the standard REIQ contracts provide a balanced legal framework, every property transaction is unique. Identifying and addressing potential issues before a contract is signed can significantly reduce the risk of disputes, unexpected costs and settlement delays.

Pre-contract negotiations allow the parties to clarify important commercial and legal matters, including the purchase price, deposit arrangements, finance, due diligence, settlement terms, inclusions and exclusions, vacant possession, lease arrangements, disclosure obligations and the allocation of risk. Where necessary, carefully drafted special conditions can be included to address the specific circumstances of the transaction while ensuring compliance with Queensland law.

Seeking legal advice at the negotiation stage enables potential risks to be identified before they become costly problems.

For sellers, it helps ensure that statutory disclosure obligations are properly satisfied and contractual obligations are clearly defined. For buyers, it provides an opportunity to negotiate appropriate protections and fully understand the legal and commercial implications of the proposed purchase.

Effective pre-contract negotiation is not about creating unnecessary complexity—it is about achieving certainty, reducing risk and ensuring that both parties enter the transaction with clear expectations.

A carefully negotiated contract provides a stronger foundation for a smooth settlement and helps minimise the likelihood of future disputes.
